Welcome to Noahscribe Limited. By accessing our website, engaging with our surveys, or using our automation, AI agents, and consultancy services, you agree to comply with and be bound by the following Terms of Service.

1. Services Provided

Noahscribe Limited provides custom AI development, intelligent voice and text agents, business automation consultancy, and software integration services. All custom services, parameters, and deliverables are governed by separate Statement of Works (SOWs) or signed client agreements when formal engagements begin.

2. AI Talent Sourcing & Recruitment-as-a-Service (RaaS)

Noahscribe Limited provides specialized AI-driven candidate sourcing, screening, and process optimization services for corporate clients ("Clients") and connects them with qualified job seekers ("Candidates"). By using our services, both Clients and Candidates agree to the following terms:

A. For Client Companies (Hiring Partners)

• Introduction of Candidates: An "Introduction" occurs when we send a Candidate’s CV, profile, or contact information to a Client (including sharing access via a private Notion board), or when we arrange an interview between a Client and a Candidate.
• Subscription Agreement: Before we grant access to Candidate profiles or set up a private Notion board, the Client must select a subscription tier and execute our separate Subscription Agreement, which details flat-rate monthly fees, payment terms, and trial conditions.
• No Direct Hiring (Subscription & Fee Protection): To prevent backdoor hiring, if a Client hires, contracts, or engages an introduced Candidate in any capacity within twelve (12) months of our last Introduction, the Client must either:
  • Maintain an active, paid monthly subscription with us at the time of the hire, OR
  • Pay Noahscribe Limited a flat "Out-of-Subscription Placement Fee" of £5,000 (unless otherwise specified in the Client's Subscription Agreement) if the Client is no longer an active subscriber.
• Vetting Disclaimer: While we use advanced AI tools to source and screen candidate profiles, the Client retains sole responsibility for verifying a Candidate's references, qualifications, right-to-work status, and overall suitability before extending a job offer.

B. For Candidates (Job Seekers)

• Submission of Resumes: By submitting your CV or resume through our forms, you grant Noahscribe Limited permission to process, format, and share your profile with potential hiring companies.
• Consent-Based Sharing: We respect your privacy. We will never share your identifying contact details (such as your full phone number or personal email) with a Client Company without your consent (which is given when you accept an interview invitation or book a call via our scheduling links).
• No Guarantee of Placement: Sourcing and interviewing with Noahscribe Limited does not guarantee placement or employment. We do not charge Candidates any fees for our sourcing and vetting services.

C. Confidentiality

Both Clients and Candidates agree to maintain strict confidentiality regarding all proprietary information shared during the recruitment process, including salary details, client criteria, interview feedback, and candidate identities.

3. User Representations & Acceptable Use Policy

By using our website and services, you represent and warrant that you have the legal capacity to comply with these Terms, and that you will use them only for lawful purposes. You agree you will not:

• Attempt to disrupt or breach the security of our website, servers, or systems.
• Submit false or misleading information through our forms or surveys.
• Use automated scripts or web scraping tools to mine data from our website.
• Input any data or content into our AI systems or automation frameworks for which you do not hold necessary rights, licenses, or permissions.

4. Artificial Intelligence Disclaimer

Due to the probabilistic nature of Artificial Intelligence and Large Language Models (LLMs), our services and AI agents may generate outputs that are unexpected, inaccurate, or incomplete. By using our services, you acknowledge and agree that:

• Human Oversight is Required: You are solely responsible for reviewing, verifying, and approving any output generated by our AI agents before relying upon it for critical business decisions, legal matters, or automated customer communications.
• No Guarantee of Accuracy: Noahscribe does not guarantee the absolute accuracy, reliability, or completeness of any AI-generated content.
• Usage Limitations: The services should not be used as a substitute for professional legal, financial, or medical advice under any circumstances.

5. Intellectual Property Rights

All content, designs, custom code, logos, and materials present on this website, along with our AI agents' underlying architecture and automation tools, are the proprietary intellectual property of Noahscribe Limited, unless otherwise specified.

• You are granted a limited, non-exclusive, non-transferable license to utilize the assigned services solely for your internal business operations. You may not copy, reproduce, or reuse any part of our site or tools without written consent.
• You retain full ownership and intellectual property rights over the proprietary data, documents, and inputs you provide to the services.

6. Limitation of Liability

Our website, tools, and free industry reports are provided on an "as-is" and "as-available" basis. Noahscribe Limited makes no warranties, expressed or implied, regarding the accuracy or uninterrupted availability of our free online resources.

To the fullest extent permitted by law, in no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profits, lost revenue, loss of data, or other business losses—arising from your use of this website, the services, or your reliance on AI-generated outputs, even if we have been advised of the possibility of such damages.

7. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the services; (2) breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; or (4) your violation of the rights of a third party.

8. Modifications and Service Interruptions

We reserve the right to change, modify, or remove the contents of the services at any time or for any reason at our sole discretion without notice. We also cannot guarantee the services will be available at all times. We may experience hardware, software, or other problems, resulting in interruptions, delays, or errors.

9. Governing Law and Jurisdiction

Noahscribe Limited is a registered company in Nigeria and operates internationally. These Terms of Service, and any dispute or claim arising out of them, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any legal action or proceeding related to our services shall be brought exclusively in the courts located in Nigeria, although we retain the right to bring proceedings against you in your country of residence for breach of these Terms.
